First Phase Studio — Terms & Conditions

These Terms & Conditions govern your access to and use of First Phase Studio (“Studio”), provided by Stephen Neligan, trading as First Phase Football (“First Phase”, “we”, “us” or “our”).
By creating an account, purchasing a subscription or using Studio, you agree to these Terms & Conditions.
1. First Phase Studio
First Phase Studio is a digital software platform designed for football coaches to create, organise, present and manage coaching content.
Studio provides software tools for session design, match preparation, tactical presentations, individual player work and related coaching workflows.
Your subscription provides access to the Studio software and the features included in your selected plan.
2. Accounts
You may be required to create an account to access Studio.
You are responsible for providing accurate information, maintaining the security of your login credentials and for activity occurring through your account.
You must not sell, transfer or provide unauthorised access to your account.
Club or organisation accounts may permit access by multiple authorised users in accordance with the applicable subscription or agreement.
3. Subscriptions and Pricing
First Phase Studio is available through recurring subscription plans.
The available plans, prices, billing periods and included features are displayed on firstphasestudio.com and at checkout.
Prices may be displayed in different currencies depending on your location.
Where a subscription is offered at an introductory price, the introductory price and the period for which it applies will be disclosed before purchase. The applicable renewal price will also be disclosed before you complete your purchase.
Subscriptions automatically renew for periods equal to the applicable subscription term unless cancelled before renewal.
The price, currency, billing period and applicable taxes will be displayed at checkout before you complete your purchase.
We may change subscription pricing in the future. Any changes affecting an existing subscription will be communicated as required by applicable law.
4. Payments and Paddle
Online purchases of First Phase Studio are processed by Paddle, which acts as the authorised reseller and Merchant of Record for the transaction.
This means that for purchases processed through Paddle, you purchase the subscription through Paddle while First Phase provides and licenses the Studio software to you.
When completing a transaction through Paddle, you also agree to Paddle's applicable Buyer Terms.
Paddle processes payments and handles applicable transaction taxes, including VAT, GST and sales tax where required.
The final amount payable will be displayed at checkout.
Paddle's current Buyer Terms describe Paddle as the authorised reseller through which the buyer purchases the product, while the supplier makes the underlying product available under its supplier agreement.
5. Automatic Renewal and Cancellation
Studio subscriptions automatically renew until cancelled.
You may cancel your subscription at any time.
Cancellation takes effect at the end of your current paid billing period. You will continue to have access to Studio until that period ends and will not be charged for another renewal after cancellation takes effect.
Subscriptions purchased through Paddle can be managed through Paddle's buyer portal.
Paddle's current Buyer Terms provide that subscriptions can be cancelled at any time, with cancellation taking effect at the end of the current billing period.
6. Licence to Use Studio
Subject to these Terms and any applicable subscription requirements, First Phase grants you a limited, non-exclusive, non-transferable and revocable licence to access and use Studio for its intended purpose.
You do not acquire ownership of Studio or its underlying software, source code, systems, interface, designs, branding or other intellectual property.
7. Acceptable Use
You must not:
copy, reproduce or redistribute Studio except where expressly permitted;
reverse engineer or attempt to obtain Studio's source code;
circumvent subscription, security or access controls;
interfere with Studio's operation or security;
access another user's account without authorisation;
use Studio for unlawful, fraudulent or abusive purposes; or
use Studio in a manner that infringes another person's rights.
We may suspend or terminate access where reasonably necessary to protect Studio, our users, our systems or our legal rights.
8. Your Content
You retain ownership of original content you create or upload through Studio.
You grant First Phase the limited rights necessary to store, process, display and otherwise handle that content for the purpose of providing Studio to you.
You are responsible for ensuring that content you create, upload or use through Studio does not infringe another person's intellectual property, privacy or other rights.
First Phase does not claim ownership of your original coaching content.
9. Intellectual Property
Studio, including its software, interface, functionality, design, branding and original materials supplied by First Phase, is owned by or licensed to First Phase and protected by applicable intellectual property laws.
Nothing in these Terms transfers ownership of that intellectual property to you.
10. Availability and Updates
We aim to provide a reliable service but cannot guarantee uninterrupted or error-free availability.
Studio may occasionally be unavailable because of maintenance, updates, technical failures or circumstances outside our reasonable control.
We may improve, modify and update Studio over time.
11. Refunds
Refunds for purchases processed through Paddle are handled in accordance with our Refund & Cancellation Policy, Paddle's applicable refund arrangements and mandatory consumer protection laws.
Nothing in these Terms excludes or limits rights that cannot lawfully be excluded.
12. Suspension and Termination
You may stop using Studio at any time and may cancel an active subscription in accordance with these Terms.
We may suspend or terminate access if you materially breach these Terms, misuse Studio, create a security risk, engage in fraudulent activity or where suspension or termination is otherwise reasonably necessary or required by law.
13. Disclaimer and Liability
Studio is a football coaching workflow and productivity software product.
We do not guarantee particular sporting, coaching, professional or commercial outcomes from using Studio.
To the maximum extent permitted by law, First Phase will not be liable for indirect, incidental or consequential losses arising from use of Studio.
Nothing in these Terms excludes statutory consumer guarantees, mandatory consumer rights or liability that cannot legally be excluded.
14. Privacy
Our collection and use of personal information is described in our Privacy Policy.
15. Changes to These Terms
We may update these Terms from time to time to reflect changes to Studio, our operations, applicable law or relevant third-party services.
Where required by applicable law, we will provide appropriate notice of material changes affecting existing users.
16. Governing Law
These Terms are governed by the laws of New South Wales, Australia, subject to any mandatory consumer protections applicable in your jurisdiction.
